Item 8.01 Other Events.

On August 31 2022, Cadence Design Systems, Inc. (the “Company”) completed its acquisition of OpenEye Scientific Software Inc., a leading provider of computational molecular modeling and simulation software used by pharmaceutical and biotech companies for drug discovery. The acquisition was funded through a combination of cash on hand and borrowings under the Company’s senior unsecured revolving credit facility.

A copy of the Company’s press release announcing the completion of the acquisition is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
