Explanation of Responses:

1. Effective March 12, 2024, the Board of Directors appointed Mr. Butcher to serve as a member of the Board and granted him, as a non-employee director, 649 restricted shares and options to purchase 1,163 shares of common stock, which represents a pro-rated amount of the standard director equity compensation for a director serving during the 2023-2024 term. These restricted shares and stock options vest in full on the earlier of June 20, 2024, or the Corporation's 2024 Annual Meeting of Shareholders.
