Explanation of Responses:

1. Constitutes stock portion of annual retainer for the year of board service by the Reporting Person commencing October 1, 2023. Such shares vest in quarterly amounts on December 31, 2023, March 31, 2024, June 30, 2024 and September 30, 2024, so long as the Reporting Person is a director on each such date.

2. Shares are held by Grassmere Partners, LLC, of which the Reporting Person is Chairman. The Reporting Person disclaims beneficial ownership of the shares except to the extent of any pecuniary interest therein.
