Explanation of Responses:

1. The shares of Crescent Energy Company (the "Issuer") Class A common stock ("Common Stock") reported were received in settlement of restricted stock units ("RSUs") granted to the reporting person pursuant to the Crescent Energy Company 2021 Equity Incentive Plan. As disclosed in the Form 4 dated April 5, 2022, the reporting person has agreed that he will transfer to Liberty Energy Holdings, LLC ("Liberty") any director compensation he receives from the Issuer, including the Common Stock received in settlement of the RSUs.

2. The reporting person serves on the Board of Directors of the Issuer as a nominee of PT Independence Energy Holdings LLC ("PT Independence") and is an officer of, and an employee of an affiliate of, Liberty, a member of PT Independence. The reporting person has agreed that he will not receive any separate compensation for serving as a director of the Issuer and will transfer to Liberty any director compensation he receives from the Issuer, including any Common Stock received in settlement of the RSUs. The reporting person disclaims beneficial ownership of such RSUs, except to the extent of his pecuniary interests therein.
