Item 8.01 Other Events.

On August 16, 2023, Blackboxstocks Inc. (the “Company”) received a written notification from the Listing Qualifications staff of The Nasdaq Stock Market (“Nasdaq”) that the Company has regained compliance with the minimum stockholders’ equity requirement for continued listing on the Nasdaq Capital Market as set forth in Nasdaq Listing Rule 5550(b)(1) requiring listed companies to maintain stockholders’ equity of at least $2,500,000. Nasdaq’s determination was based upon the Company’s quarterly report on Form 10-Q for the quarter ended June 30, 2023 evidencing stockholders’ equity of $8,368,411.
