Compensatory Arrangements of Certain Officers.

On February 3, 2023, Thomas A. Kingsbury notified Big Lots, Inc. (the “Company”) of his decision to resign from the board of directors of the Company (the “Board”) effective immediately. Mr. Kingsbury did not resign from the Board because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
