Item 2.02. Results of Operations and Financial Condition

On May 5, 2026, Ball Corporation (“Ball") issued a press release and will hold a conference call regarding its financial results for the first quarter ended March 31, 2026. The release is furnished as Exhibit 99.1 to this Form 8-K.

The Company’s results and earnings information regarding its first quarter, as well as information regarding the use of non-U.S. GAAP financial measures, are set forth in the attached press release dated May 5, 2026, and attached hereto as Exhibit 99.1. Certain non-U.S. GAAP measures will be used in Ball’s earnings conference for the first quarter of 2026. These non-U.S. GAAP financial measures should not be considered a substitute for, or superior to, financial measures calculated in accordance with U.S. GAAP, and the financial results calculated in accordance with U.S. GAAP and reconciliations to these results should be carefully evaluated.
