Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 11, 2023, Joe Annoni, Chief Financial Officer and Assistant Chief Restructuring Officer of Athenex, Inc. (the “Company”), and the Company mutually agreed that Mr. Annoni would separate from the Company effective immediately. In connection with Mr. Annoni’s departure, he received a severance payment equivalent to four weeks of his base annual salary.
