Results of Operations and Financial Condition.

On February 21, 2023, Assertio Holdings, Inc. (the “Company”) issued a press release announcing certain preliminary unaudited financial results for the fiscal quarter and year ended December 31, 2022. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
