This Form 8-K/A is being filed as an amendment (Amendment No. 1) to the Current Report on Form 8-K filed by Arrow Electronics, Inc. (the "Company") with the Securities and Exchange Commission on March 23, 2021.

Temporary Suspension of Trading Under Registrant’s Employee Benefit Plans

The Company has determined upon further review that the trading restrictions under Section 306(a) of the Sarbanes-Oxley Act of 2002 are not applicable and has notified its directors and executive officers accordingly.
