Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 1, 2024, Mr. Morris Willner resigned as a director of the Board of Directors (the “Board”) of ARKO Corp., a Delaware corporation (the “Company”), effective immediately. Mr. Willner notified the Company that his resignation from the Board was due to health reasons and not because of any disagreement with the Company relating to its operations, policies or practices.
