1. This transaction involved the Reporting Person's gift of 100,000 shares of the Issuer's common stock to Arison Family Management Trust, established for the benefit of the Reporting Person's spouse and children exempt under Rule 16b-5. The Reporting Person disclaims beneficial ownership of the securities held by the trust, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
