Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 29, 2024, Ronald J. Gafford notified the Board of Directors (the “Board”) of Arcosa, Inc. (the "Company") that he does not intend to stand for re-election at the Company’s 2024 Annual Meeting of Shareholders and will retire as a director and member of the Board. Accordingly, his Board service will end effective as of the date of the Company’s 2024 Annual Meeting of Shareholders on May 8, 2024. Mr. Gafford’s decision to retire from the Board is not the result of any disagreement with the Board or the Company on any matter related to the Company’s operations, polices, or practices. Mr. Gafford intends to continue to serve on the Board and the Company’s Human Resources and Governance and Sustainability Committees until the expiration of his current term. The Board and the Company are grateful for Mr. Gafford’s dedicated service as a director and wish him well following his retirement from the Board.
