The completion of the acquisition constitutes a Make-Whole Fundamental Change for the 4.125% Convertible Senior Notes due 2025 issued by Livent Corporation, a wholly owned subsidiary of Arcadium Lithium. The Effective Date of the Make-Whole Fundamental Change is March 6, 2025.
