Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 1, 2022, Patrick Halfmann notified the Board of Directors (the “Board”) of AppHarvest, Inc. (the “Company”) of his resignation from the Board and all committees thereof effective immediately. Mr. Halfmann’s decision to leave the Board was not the result of any disagreement between the Company and Mr. Halfmann on any matter relating to the Company’s operations, policies, or practices.

In connection with and effective September 2, 2022, and following Mr. Halfmann’s resignation, the Board appointed Greg Couch, currently serving as an independent director of the Company, to the Audit Committee.
