Other Events.

On May 20, 2024, Amphenol Corporation (the “Company”) announced the approval of a two-for-one stock split of the Company’s Class A Common Stock in the form of a stock dividend to be distributed on June 11, 2024, to holders of record of the Company’s Class A Common stock at the close of business on May 31, 2024.

A copy of the press release announcing the approval of the stock dividend is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
