On February 26, 2026, American Bitcoin Corp. issued a press release announcing its financial results for the year ended December 31, 2025. A copy of such press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. Exhibit 99.1 attached hereto shall be deemed to be "filed" for purposes of the Securities Exchange Act of 1934, as amended.
