Item 8.01 Other Events.

On May 5, 2025, Rafael Holdings, Inc. (the “Company”) issued a press release announcing revised subscription rights in connection with its previously announced rights offering. Each subscription right will entitle the Holder to purchase 0.603 of a share of Class B Common Stock at a subscription price of $1.28 per share a change from the previous announced 0.526 of a share of Class B Common Stock for each subscription right held by the Holder. All other terms and conditions f the rights offering remain unchanged.
