EXPLANATORY NOTE

The sole purpose of this Amendment No. 1 (this “Amendment”) to the Current Report on Form 8-K dated February 24, 2026 filed with the Securities and Exchange Commission by Gentherm Incorporated (the “Company”) on February 27, 2026 (the “Original Report”) is to correct for the clerical error on the signatory for Gentherm (Texas), Inc. on the first signature page to the First Amendment filed as Exhibit 10.1 to the Original Report. Other than the correction of the applicable signatory, no other changes have been made to the Original Report or the First Amendment.
