Explanation of Responses:

1. On December 5, 2024, the reporting person was granted non-qualified stock options to purchase 500,000 shares of the issuer's common stock pursuant to the terms and conditions of a stock option award agreement and subject to certain vesting conditions.

Remarks:

On February 14, 2025, the reporting person filed a Form 5 that incorrectly reported the number of shares of common stock underlying the stock option award grant in Table II. This amended Form 5 is being filed solely to report in Table II the correct number of shares of common stock underlying the stock option award grant that occurred on December 5, 2024. This amended report does not report any new transactions or otherwise modify the transaction details that were previously reported.
