Explanation of Responses:

1. This price reflects the weighted average purchase price for the shares, which were purchased in multiple transactions at prices that ranged from $7.275 to $7.42. Upon request of the SEC staff, the issuer, or a security holder of the issuer, the reporting person will provide information regarding the number of shares acquired at each separate price.

Remarks:

The Reporting Person may be deemed to be a member of a Section 13(d) group that collectively beneficially owns more than 10% of the Issuer's outstanding Common Stock. The securities reported herein do not include any securities held by any group member other than the Reporting Person, as such securities are being reported in separate Form 4 filings.
