Explanation of Responses:

1. The Reporting Person is a general partner of the partnership that owns the reported securities. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest in the securities.

2. Due to an administrative error, the amount of shares indirectly owned following the reported transaction was incorrect in the original Form 4. This Form 4/A reflects the correct number of shares indirectly owned following the reported transaction.
