Explanation of Responses:

1. This Form 4 is being amended to correct the transaction code reported in Table II from 'A' to 'M' to properly reflect the transaction. No other changes have been made to the original filing.

2. Conversion of LTIP Units (the "LTIP Units") of Prologis, L.P. into common units of Prologis, L.P. (the "Common Units") and redemption of Common Units for cash. The units have no exercisable date or expiration date.
