Explanation of Responses:

1. The Reporting Person purchased from the open market prior to November 19, 2025, the date of the event requiring filing of this statement.

2. On June 26, 2025, the Issuer granted to the Reporting Person options to purchase 400,000 shares of the Issuer's common stock. The options vested in full on June 26, 2025 and were fully exercisable as of that date. The options were granted and became exercisable prior to the date on which the Reporting Person first became subject to the reporting requirements of Section 16(a) of the Securities Exchange Act of 1934 (November 19, 2025).

Remarks:

This Form 3/A is filed to amend the Form 3 filed by the Reporting Person on March 19, 2026 (the "Original Form 3"). The Original Form 3 is hereby amended to disclose options to purchase 400,000 shares of the Issuer's common stock that were beneficially owned by the Reporting Person as of November 19, 2025, the date of the event requiring the filing of the Original Form 3, and were inadvertently omitted therefrom.
