Explanation of Responses:

1. This amendment is being filed to correct the number of shares reported as beneficially owned. Certain restricted stock units had vested, and due to timing of tax settlement processing, the corresponding shares were not reflected as directly held in the original filing. This amendment reflects the correct number of shares beneficially owned.
