Explanatory Note

On February 5, 2026, NeoVolta, Inc. filed a Form 8-K (the “Original Filing”) reporting the resignation of one of its officers. The Original Filing inadvertently omitted that the termination of employment was due to the resignation of the officer. This amendment to the Original Filing amends and restates in its entirety the Original Filing.

On January 30, 2026, Michael Mendik, Chief Product Officer of NeoVolta Inc., a Nevada corporation (the “Company”), resigned effectively immediately.
