1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $3.15 to $3.22, inclusive. The reporting person undertakes to provide to TARA, any security holder of TARA, or the staff of the SEC, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in this footnote.

Remarks:

This amendment is to revise the footnote above to reflect that the transactions that are the subject of this Form 4 were purchases, not sales, of shares of TARA.
