Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $11.75 to $12.35, inclusive. The reporting person undertakes to provide to the issuer, any shareholder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in footnote 1.

Remarks:

This Amended Form 4 is being filed solely to correct typographical errors in Footnote 1 of the original Form 4 which inadvertently referenced shares being sold rather than purchased.
