2. Each restricted stock unit ("RSU") represents the right to receive, following vesting, one share of common stock of SharpLink Gaming, Inc. (the "Company").

3. RSUs from grant dated February 15, 2024. These RSUs will vest in equal increments of 10,000 RSUs on June 30, 2024, September 30, 2024 and December 31, 2024.

4. This Form 4A is to correct the reported amount of securities beneficially owned following reported transaction from 40,000 to 10,000.
