Explanation of Responses:

1. This transaction represents forfeiture of previously granted restricted stock award due to non-achievement of performance criteria.

2. This Form 5 is being amended to correct an administrative error, in which the previously reported shares beneficially owned by the Reporting Person is incorrect and now reflects an increase in the number of shares reported as beneficially owned by the Reporting Person.
