Other Events.

As previously disclosed, on May 3, 2023, Amedisys, Inc., a Delaware corporation (“Amedisys”), Option Care Health, Inc., a Delaware corporation (“Option Care Health”), and Uintah Merger Sub, Inc., a Delaware corporation and wholly-owned subsidiary of OPCH (“Merger Sub”), entered into an Agreement and Plan of Merger, pursuant to which, and on the terms and subject to the conditions thereof, Merger Sub will merge with and into Amedisys, with Amedisys continuing as the surviving corporation and becoming a wholly-owned subsidiary of OPCH (the “Merger”).

The applicable waiting period with respect to the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, expired on June 16, 2023. The completion of the Merger remains subject to approval by Option Care Health stockholders and Amedisys stockholders and other customary closing conditions.
