Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 4, 2023, following ten years of service, Nancy J. Wysenski notified Alkermes plc (the “Company”) of her decision to retire, for personal reasons, from the Company’s board of directors (the “Board”) and from any Board leadership positions and committees on which she serves, in each case effective as of December 8, 2023. The Company thanks Ms. Wysenski for her years of dedicated service and invaluable contributions to the Board.

On December 7, 2023, the Board decreased the size of the Board from eleven (11) directors to ten (10) directors and appointed Frank Anders Wilson as the Lead Independent Director of the Board, in each case effective as of December 8, 2023.
