Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 23, 2024, Don DeMarinis, Senior Vice President Sales, Americas and EMEA, of Agilysys, Inc. (the “Company”), notified the Company of his intention to retire effective as of August 30, 2024. Mr. DeMarinis will serve in his current role until the date his successor commences employment with the Company and then will remain as an employee to assist with the transition until his retirement date.
