(b) Retirement of Marques Coleman from Board of Directors

On May 31, 2025, Marques Coleman, who currently serves as a Class II director on the Board of Directors (the “Board”) of ADT Inc. (the “Company”) with a term expiring at the Company’s 2028 Annual Meeting of Stockholders, retired from his position as a member of the Board.

Mr. Coleman was a designee of funds managed by affiliates of Apollo Global Management, Inc. (“Apollo”). Mr. Coleman’s retirement is not a result of any disagreement with the Company or its Board, or any matter relating to the Company’s operations, policies or practices.
