Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

AAR CORP. (the “Company”) is filing this amendment to its Current Report on Form 8-K filed on October 12, 2023, which reported the appointment of Billy J. Nolen to the Company’s Board of Directors (the “Board”). At the time of the appointment, the Board had not appointed Mr. Nolen to any of its committees.

On January 16, 2024, the Board appointed Mr. Nolen to the Board’s Aviation Safety and Training Committee, effective immediately.
